LIMITATION OF LIABILITY

In no event shall Logo Pros, Inc. or its licensors, suppliers, or vendors, their officers, directors, employees, or agents, be liable for any special, incidental, indirect, or consequential damages of any kind, or for any damages whatsoever resulting from loss of use, data or profits, whether or not Logo Pros, Inc. has been advised of possibility of the damage, arising out of or in connection with the use or performance of the site or of failure to provide services that you order from Logo Pros, Inc. or its affiliates, including without limitation, damages arising from mistake, omission, virus, delay, or interruption of service. In no event shall Logo Pros, Inc. be liable or responsible for any damages or consequences arising from or related to your inappropriate or unauthorized use of the site or its content.

RETURNS / REFUNDS

Since each order is unique to customer and has no re-sale value, All Sales Are Final. If we verify that we made an error, we will re-print the order. No Refunds or Credit.

Customer must notify Logo Pros, Inc. within 3 business days of order acceptance of any defects discovered in the ordered product or the claim will be denied. In order to receive replacement Customer must return 100% of the received product within 10 days (on their own expense) from the time when the ordered product delivery was taken. All charges related to expedite printing (Rush Printing or Shipping) are NOT REFUNDABLE, including for those orders that are returned for any reason.

CUSTOMER CONTENT

You understand that all information, data, text, photographs, graphics, messages or other materials ("Content") are the sole responsibility of the person from which such Content originated. This means that you, and not Logo Pros, Inc., are entirely responsible for all Content that you use from Logo Pros, Inc. Gallery or send, upload, post or transmit via the Service. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. You agree to not use the Service to send, upload, post or otherwise transmit any Content that contains

(i) child pornography or anything indecent, obscene, lewd, lascivious, filthy or vile;
(ii) a threat to kidnap or injure a person, a threat to injure the personal property or reputation of another person, a threat to accuse any person of a crime, a threat to inform another that a person has violated any law of the United States, or a threat of blackmail;
(iii) any matter advocating or urging treason, insurrection, or forcible resistance to any law of the United States;
(iv) any defamatory remarks directed at any other person or company; or
(v) any content that infringes the intellectual property rights or other proprietary rights of Logo Pros, Inc. or any third party. Logo Pros, Inc. does not control the Content posted by Customers and does not guarantee the accuracy, integrity or quality of the Content. Under no circumstances will Logo Pros, Inc. be liable to you in any way for any Content you may be exposed to that you may find offensive, indecent or objectionable. Products and services are provided for your personal use only. You agree to abide by these terms of service and not to use these products and services or related messages for any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

You acknowledge that Logo Pros, Inc. does not pre-screen Content, but that Logo Pros, Inc. and its affiliates shall have the right (but not the obligation) in their sole discretion to remove any Content that violates the terms of service or may otherwise be objectionable. You further acknowledge and agree that Logo Pros, Inc. may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the terms of service; (c) respond to claims that the Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of Logo Pros, Inc. its users and the public.

 

 

GOVERNING LAW

Logo Pros, Inc. is based in Knoxville, Tennessee and all transactions take place on Logo Pros, Inc. servers located in Knoxville, Tennessee. Any legal action or proceeding relating to or arising from your access to or use of this Site shall be instituted in Tennessee. You agree to submit to the jurisdiction of Knoxville, Tennessee courts and agree that venue in these courts is proper in any such legal action or proceeding.

INDEMINITY

You agree that you shall indemnify and defend Logo Pros, Inc. and all parties from whom Logo Pros, Inc. has licensed portions of Content, and their directors, officers, and employees, against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses arising out of or related to (i) your breach of these Terms of Use or (ii) any suit, claim, or demand arising from or relating to any text, photograph, image, graphic or other material you incorporated into Products.

ORDER APPROVAL

Customer is fully responsible for final proof and layout approval prior to the printing process.

Logo Pros, Inc. is NOT LIABLE for errors in a final product caused by any of the following reasons: Misspelling, Graphics, Bleeds, Grammar, Damage Fonts, Punctuation, Wrong cuts, Incorrect or Missing Folds, Die Lines, Crop Marks, Transparency, Overprint, Finished Product Size. We DO NOT make any changes on customer files. Minimum charge for typesetting and design is $50.00.

INDEMNITY

By submitting the above document to Logo Pros, Inc. "I agree to the following terms". I have verified that spelling and content are correct. I am satisfied with the document layout. I understand that my document will print EXACTLY as it appears here, that I cannot make any changes once my order is placed and that I assume all responsibility for typographical errors.

ORDER SHIPPING AND DELIVERY

Logo Pros, Inc. will always act to make sure that any production difficulties do not delay delivery schedules. In no case shall Logo Pros, Inc. be liable for any consequential or damages resulting from any delay in shipment or delivery.

All Logo Pros, Inc. customers agree not to hold Logo Pros, Inc. liable for delays in shipments caused by weather conditions, shipping company delays, international customs issues or any other circumstances beyond Logo Pros, Inc.'s direct control. Logo Pros, Inc. shipment and delivery dates are calculated based upon estimates provided by our suppliers.

Logo Pros, Inc. will always act to make sure that delivery schedules are met. However, unexpected equipment failure, malfunction and or technical problems may delay the printing process. In case of delay caused by technical difficulty, rush charges/fees will be refunded or waived where applicable. However, technical difficulty will not be the grounds for order cancellation.

Logo Pros uses UPS Ground unless otherwise specified.

SHIPPING ERRORS & LOST PACKAGES

Lost or damaged claims can only be filed for shipments over $50.00 in value and can only be done after 30 days from package shipment. Logo Pros, Inc. is not responsible for 3rd party shipping errors, omissions or damaged shipments.

CUSTOMER SUPPLIED INCORRECT ADDRESS

When a package is not delivered due to an error made by the customer in submitting the proper shipping address, Logo Pros, Inc. will reship the package with corrected address and charge an additional shipping fee for the shipment.

Check Returns

In all cases where we have a check returned for Non Sufficient Funds we will assess a $50.00 fee.

Initial Terms:  Prepayment by check or credit card.  Minimum order: $150 net. Clients ("signer") agree to pay all charges signed for on payment by credit card authorization form.  By signing our authorization form, signer agrees that they are the authorized cardholder and responsible for all charges. All artwork, proofs, or order revision costs additional.  PAYMENT MUST BE PAID IN FULL BEFORE SHIPMENT.

If you are issued credit and you are late paying your invoice, a 1.5% finance charge may be assessed against all accounts with past due balances. You agree to pay all the company's reasonable attorney's fees and all collection agency fees incurred in the collection of any amount owed there under and not paid when due.

Warranties

Logo Pros, Inc. warrants that all goods sold are free of any security interest and will make available to you all transferable warranties made to Logo Pros, Inc.  by the manufacturer of the goods. Logo Pros, Inc. makes no other express or implied warranties, and specifically makes no implied warranties of merchantability or fitness for purpose.

Transfer of Ownership of Merchandise

All goods become your property at the time they are accepted by the carrier. All goods are custom imprinted products with the customer customization and are not returnable.

Acceptance

Your submittal of an online order and/or your signature on our Order Acknowledgement is a conditional acceptance by Logo Pros, Inc. of your offer to purchase our goods and your acceptance of our terms and conditions. It may contain terms that differ from or add to those contained in your purchase order, should you have one, and to the extent that this is the case, Logo Pros, Inc. hereby expressly conditions its acceptance of your offer on Logo Pros, Inc. assent to the additional or different terms. Your receipt and retention of the goods covered by this invoice shall constitute acceptance of any such additional or different terms. You and Logo Pros, Inc. agree that any contract hereby entered into has been made and is to be construed to Tennessee State Law.

Sales Tax

Logo Pros, Inc. is required by law to collect all applicable sales taxes for the state, counties and cities of Tennessee. Companies, individuals and organizations who are exempt from sales tax should provide us with their resale certificate by fax to 865-769-8109

Cancellations and Alterations to Existing Orders

Once an Order Payment Form is approved, we cannot guarantee our ability to make changes or cancellations to an order. Logo Pros, Inc. will make every effort to comply with your cancellation request. If you have already signed your Acknowledgment or Order Charge or Payment Form, there will be a minimum charge of $150.00. (NOTE: Rush Orders cannot be cancelled once order form is received.) The charge may be greater depending on how much work was completed by the factory up to the time of cancellation. If artwork was received, all artwork preparation, screens, proofing and art time may be charged.  All costs incurred by Logo Pros, Inc. will be the responsibility of the customer. Since we are producing custom printed material per your authorization, once artwork has been approved, you order cannot be cancelled and must be paid for in full.  By signing our payment authorization form you agree to these terms for your order.

 

Claims, Adjustments and Returns

If there is a question about your order please contact customer service at 1-865-693-1977 within 48 hours of receipt.  Please have your order number available. WE DO NOT ACCEPT UNAUTHORIZED RETURNS. Any returns must be approved by our customer service department.  If any problem arises, please call customer service immediately. If necessary we will issue an RMA number (return material authorization) and provide you with a special shipping address. NO RETURNS WILL BE ACCEPTED WITHOUT A VALID RMA#. 

Refund Policy

There are no refunds once your order is printed. If you have approved the artwork for your custom order, your order is in production and cannot be cancelled. You are responsible for the charges you have authorized.  Any refunds are at the sole discretion of Logo Pros, Inc.  Phone, faxed, or emailed cancellations are not applicable. All sales are final. 

Rush Orders:  

Rush orders will require a payment of 50% of order estimate.  If there is a question about your order please contact customer service at 1-865-693-1977 within one hour of rush order placement.  Please Note:  Rush orders stop all other orders from production and require time and costs to be approved. Please be sure you would like to proceed before signing authorization form. All orders are final and cannot be cancelled.

Setup Charge

Unless otherwise specified, each job requires that we prepare art, create film and a screen or print pad for each color and location of the imprint, plus the adjustment of various machine settings. A setup is the same whether the order is for 20 pieces or 20,000 pieces. The fee is applied per additional color, per additional imprint location if your imprint art includes a logo or trademark unless it’s an exact reorder.

 

Running Charge

 

Unless otherwise specified, item pricing includes the cost of a single-color imprint in one location. If your order is for more than one color, more than one imprint location or requires a non-standard imprint method; a running charge is applied per additional color, per additional imprint location, per piece.  Embroidery includes left chest logo up to 8000 stitches.

Overages and Shortages

We try to produce your custom printed order in the exact quantity ordered, but this is not always possible due to quality control efforts and fast running machines. Industry standards are +/- 10% over or under ordered quantity. We will discard unacceptable pieces and ship all acceptable pieces.  We reserve the right to ship and subsequently bill or credit, your charge card or account, for up to 10% over or under the desired quantity.

Site Pricing

We reserve the right to change prices on the site at anytime. While we make best efforts to keep our site up to date, from time to time actual market conditions may change the price of a product. Pricing on our site may change monthly depending on in-house availability. We will confirm pricing differences to you before acceptance of order. 

We reserve the right to refuse service without disclosing a reason.
